There are some trivial listing requirements differences, but they all have to have their SEC paperwork up to date. Most companies on either could qualify for the other, so it’s really a choice for companies. Older companies tend to be listed on the NYSE because NASDAQ didn’t exist when they were looking for an exchange listing and the NYSE makes it hard for companies to leave.

Very little. Both are highly regulated stock exchanges (rules are similar if not exactly the same) in the U.S., much moreso than the AMEX. The main difference is that the NASDAQ is electronic based as opposed to the NYSE historically being traded on the floor by Wall Street. The NASDAQ tends to have a lot more micro-caps and technology stocks from my experience (such as CISCO and MICROSOFT), while the NYSE hosts the powerhouses like General Electric and Exxon Mobil. In the end, the NASDAQ may be a bit more volatile and liquid due to its electronic base as controlled by market makers. Answer by Mary Jo’s GhostThe NYSE has a broader base of more sectors than the NASDAQ which is heavily weighted to Tech Stocks. The traditional difference between them was order execution systems that are now converging on all electronic order executions.
The NASDAQ was more forward thinking in recent years when it came to leveling the field for the individual investor, but the NYSE has outgrown it’s legacy tradition of being exclusionary.
There are still differences in licensing requirements, fees and some rules, but the difference between them is becoming less and less every year.
