If you’re asking from a legal standpoint, nothing. They are both underage so no one could get charged. But from a social standpoint, it’s not a good idea. You could get a very bad reputation.

Sex with someone age 12 and under is considered a felony in most states. The so- called “Romeo and Juliet” exceptions for minors in sexual relationships do not apply to 12-year-olds.

The 16-year-old would be charged with some form of sexual assault as a juvenile, most likely.
