mutual funds using a simple term basically are just pools of money which were put in by many investors like you and me and are professionally managed to by the mutual fund managers, usually are invested in stocks or bonds or a combination of both in hope of making a good return.
stock exchanges simply are just places where the stocks are listed to be traded.
